By creating an account or using FraternalFlow (the "Service"), you and the organization you represent (the "Customer") agree to these Terms. If you are accepting on behalf of a lodge, temple, chapter, or other organization, you represent that you have authority to bind it.
FraternalFlow provides membership management software for fraternal organizations, including member records, dues tracking, receipts, attendance, events, and financial reporting. Features vary by subscription tier as described on our pricing page.
The Customer designates its own officers and users and is responsible for their access decisions, credential security, and activity under its accounts. Notify us promptly of any suspected unauthorized access.
The Service is billed by subscription tier, monthly or annually, as published on the pricing page or agreed in writing. Fees are payable in advance. We may change pricing with at least 30 days' notice; changes take effect at the next renewal. Accounts more than 30 days past due may be suspended after notice.
The Customer owns all member and organizational data it enters into the Service ("Customer Data"). We claim no ownership of it. Every tier includes export of Customer Data in standard formats (CSV/Excel) at any time. Upon termination, the Customer may export its data for 30 days, after which we may delete it.
We use commercially reasonable efforts to keep the Service available, maintain encrypted nightly backups, and protect Customer Data as described in our Privacy Policy. We use Customer Data only to provide and support the Service — never to sell, rent, or market to your members.
The Customer agrees not to: use the Service for unlawful purposes; attempt to breach, probe, or overload it; upload malicious code; resell access without written agreement; or enter data it has no right to hold. We may suspend accounts that endanger the Service or other customers, with notice where practicable.
The Service is provided "as is" and "as available." We do not warrant uninterrupted or error-free operation. The Service is a record-keeping tool; the Customer remains responsible for its own legal, tax, and reporting obligations, including those to its Grand Lodge or governing bodies.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages. Our total aggregate liability arising from the Service is limited to the fees paid by the Customer in the twelve (12) months preceding the claim.
Either party may terminate at the end of the current billing period. We may terminate immediately for material breach not cured within 15 days of notice. Sections 5, 9, and 11 survive termination.
These Terms are governed by the laws of the State of Alabama, USA, without regard to conflicts of law. We may update these Terms; material changes will be posted with a new effective date and, for active customers, notified by email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
